last year my wife and i bought a flat 150 k it is now been valued at 135k
can we transfer a third of the property to our daughter without incurring any tax .

Yes.
As there is a Loss, no CGT is payable.
It is still a gift for IHT purposes.

As the capital loss was realised on a gift to your daughter it is a "clogged loss". This means you can't offset the loss against other gains, other than gains realised on a transaction with the same daughter.
Presumably there is no mortgage on the property. If there is, and your daughter will assume part of the debt, that is treated as consideration and could be liable to SDLT.
